Development of a platform for contracts negotiation and expectations alignment throughout the collaborative development of products with disruptive technologies

Abstract

The intangible market is on the rise, surpassed $50 trillion for the first time in history. However, according to the USPTO, from the intellectual property market estimated in 2014 at $6.6 trillion, only $881 billion was achieved. Other studies show that every 100 technologies licenses, 46 contracts are signed and only 3-4 licensing agreements are finished successfully. The main causes are the differences in expectations about the future performance of technology and the inability of counterparties to reach mutually acceptable financial terms and technology valuation. The challenge intensifies if this asset is a technology that will be incorporated into a more complex product. In this way, it is necessary to understand, evaluate and have consensus on the contribution of each partner. The uncertainty and lack of knowledge can prevent reaching a consensus on the division of intellectual property and other results. In practice, the valuation at the beginning of the project is substantially different from the end, causing breaks to agreements. There is no tool on the market to help partners with registration forecasting and valuation, as well as managing changes in expectations throughout the entire project, offering security to those involved. Over 4 years, it was possible to develop a theoretical model, combining blockchain technology, agile management of projects and collection and scientific review of valuation techniques. The results showed that the technological innovation proposed by the project is technically feasible. Also, there was interest of relevant and global companies in the validation, which may be an indication of ease of market entry. When transformed into a scalable product, the platform can bring important positive impacts such as: (i) greater trust between partners, (ii) automatic estimation of valuations throughout the process of the development of collaborative technologies/products, enabling greater precision, (ii) greater security in sharing sensitive data, (iv) transparency in deliveries as well as (v) agility in the process.
